Biography
Mark Purpura enjoys a diverse commercial practice, focusing on complex transactions involving Delaware entities, as well as banking, trust and insurance matters. A director in the firm’s Business Department, Mark has extensive experience counseling clients in transactional matters relating to Delaware limited liability companies, limited partnerships, general partnerships and statutory trusts. He works on a broad range of transactions, including mergers and acquisitions, initial public offerings, entity formation (including private equity firm and investment fund formation), entity governance matters, dissolution matters, joint ventures and many different types of complex financing transactions. In connection with transactions or in operational matters, Mark advises directors and managers of limited liability companies and partners of partnerships on their fiduciary duties with respect to such entities. Mark also regularly renders legal opinions on matters of Delaware law in connection with transactions.
Mark also represents Delaware banks, trust companies, insurance companies and other nondepository financial institutions in transactional matters, including formation, governance, dissolution, mergers and acquisitions, other commercial transactions, the development of lending and other consumer finance programs, personal and corporate trust matters, and federal and state regulatory matters, including representation before Delaware state and federal regulatory authorities.
Active in both the state and national bar, Mark was recently honored by the Delaware State Bar Association’s LGBT Section for his exceptional commitment to improving the legal services afforded to members of Delaware’s LGBT community and to the advancement of the legal interests of LGBT Delawareans.
